1. Purpose and acceptance1. Objeto y aceptación

These Terms and Conditions (the "Terms") govern the use of Aloha Tags, the feature that lets Aloha users transfer balance to other Aloha users using only their username. Aloha Tags is provided by Aloha Systems Corp. ("Aloha"). These Terms supplement Aloha's general Terms of Service; if they conflict, these Terms prevail as to Aloha Tags. By activating or using Aloha Tags, the user accepts these Terms.

Estos Términos y Condiciones (los "Términos") regulan el uso de Aloha Tags, la funcionalidad que permite a los usuarios de Aloha transferir saldo a otros usuarios de Aloha usando solo su nombre de usuario. Aloha Tags es prestado por Aloha Systems Corp. ("Aloha"). Estos Términos complementan los Términos de Servicio generales de Aloha; si hay contradicción, estos Términos prevalecen respecto de Aloha Tags. Tag

3. Nature of the service3. Naturaleza del servicio

Aloha is a technology platform and is not a bank or a depository institution. Users' funds are held through its Financial Partners (currently Cross River Bank, through Modern Treasury, in the United States, and Vita Wallet in Latin America; the current list is shown on the platform), and Transfers are recorded within the Aloha platform. Balances do not earn interest and are not covered by deposit insurance, unless expressly stated otherwise.

Los fondos de los usuarios se mantienen a través de sus Socios Financieros (a la fecha, Cross River Bank, a través de Modern Treasury, en Estados Unidos, y Vita Wallet en Latinoamérica, cuya lista vigente se informa en la plataforma), y las Transferencias se registran dentro de la plataforma Aloha. 4. Eligibility4. Requisitos para usar Aloha Tags

To send or receive Transfers, the user must:

• Have an active, verified Aloha Account (KYC/KYB) and keep its information up to date.Tener una Cuenta Aloha activa y verificada (KYC/KYB), y mantener su información actualizada.
• Be a legal entity, or an individual of legal age with full legal capacity.Ser una persona jurídica, o una persona natural mayor de edad con plena capacidad legal.
• Not be located or operate in jurisdictions sanctioned or excluded by Aloha, and not appear on any sanctions list.No estar ubicado ni operar en jurisdicciones sancionadas o excluidas por Aloha, ni figurar en listas de sanciones.

Aloha may decline to activate Aloha Tags or request additional information at any time.

5. The Tag5. El Tag

5.1 The user chooses a Tag when activating the service. Each Tag is unique and linked to a single Aloha Account.

5.2 Tags may not impersonate another person, brand or company, be misleading or offensive, or infringe third-party rights.

5.3 Aloha may reject, reserve, change or reclaim a Tag that breaks these rules, or when a third party makes a well-founded claim.

5.4 The user may change their Tag up to three (3) times per year. A released Tag may be assigned to another user after fifteen (15) days.

5.5 The user's Tag, business name and profile image will be visible to other Aloha users who search for it.

5.6 The Tag is only an identifier for sending and receiving Transfers. On its own, it does not verify the identity of the Aloha Account holder, or that the holder owns, represents or is an authorized distributor of any brand or company. Before confirming a Transfer, the Sender must verify the Recipient's identity and, if in doubt, confirm it through a channel other than Aloha Tags.

5.6 El Tag es solo un identificador para enviar y recibir Transferencias. Por sí solo no acredita la identidad del titular de la Cuenta Aloha, ni que sea titular, representante o distribuidor autorizado de una marca o empresa. 5.7 The user does not acquire ownership of, or any other right in, the Tag by using it. The Tag may not be sold, assigned or transferred to third parties.

6. How a Transfer works6. Cómo funciona una Transferencia

6.1 The Sender enters the Recipient's Tag, the amount and the currency.

6.2 Before confirming, Aloha shows the name of the holder of the destination Aloha Account. The Sender is responsible for checking that the Recipient is correct.

6.3 On confirmation, the amount is debited from the Sender's Available Balance and credited to the Recipient's Aloha Account, normally instantly.

6.4 Aloha may delay, hold or reject a Transfer to review it for compliance, security or fraud-prevention reasons.

6.5 Both parties receive a receipt with the date, amount, currency and a reference number.

6.6 Transfers can only be made between Aloha Accounts. Aloha Tags cannot be used to send funds to bank accounts or to third parties outside the platform; Aloha's regular withdrawals are used for that.

7. Finality, errors and reversals7. Irrevocabilidad, errores y reversos

A confirmed Transfer cannot be cancelled by the Sender. If it was sent by mistake, the Sender must ask the Recipient directly for its return. Aloha may help, but is not obliged to recover the funds. Aloha may reverse or block a Transfer when: (a) it resulted from a technical error on the platform; (b) there are reasonable indications of fraud or unauthorized use of the account; or (c) it is required by law or by a competent authority.

Una Transferencia confirmada no puede anularse por el Remitente. Si se envió por error, el Remitente debe pedir la devolución directamente al Destinatario. Aloha podrá colaborar en la gestión, pero no está obligada a obtener la devolución. Aloha sí puede revertir o bloquear una Transferencia cuando: (a) se originó en un error técnico de la plataforma; (b) existen indicios razonables de fraude o de uso no autorizado de la cuenta; o (c) lo exige la ley o una autoridad competente.

8. Limits8. Límites

Transfers are subject to per-transaction, daily and monthly limits, which may vary with the user's risk profile and verification level. Current limits are shown on the platform. Aloha may change them at any time for risk or compliance reasons.

9. Fees and exchange rates9. Comisiones y tipo de cambio

9.1 Transfers between Aloha Accounts denominated in the same currency shall not be subject to any fee or currency conversion, such that the Recipient shall receive the full amount transferred by the Sender.

9.1 Las Transferencias efectuadas entre Cuentas Aloha denominadas en una misma moneda no estarán afectas a comisión alguna ni a conversión de divisas, de modo que el Destinatario recibirá íntegramente el monto transferido por el Remitente.

9.2 In the case of Transfers between Aloha Accounts denominated in different currencies, the amount sent by the Sender in their currency shall be converted and credited to the Recipient in its equivalent in the currency of the destination Aloha Account.

9.2 Tratándose de Transferencias entre Cuentas Aloha denominadas en monedas distintas, el monto enviado por el Remitente en su moneda será convertido y acreditado al Destinatario por su equivalente en la moneda de la Cuenta Aloha de destino.

9.3 The conversion referred to in the preceding section shall be carried out at the Aloha Exchange Rate in effect on the date of the Transfer, which is determined by Aloha and includes a margin that forms part of Aloha's compensation. Since such rate is subject to the fluctuations of the foreign exchange market, Aloha does not guarantee, prior to the execution of the Transfer, the exact exchange rate that will apply. The conversion shall be carried out by the relevant Financial Partner.

9.3 La conversión referida en el numeral anterior se efectuará conforme a la Tasa de Cambio Aloha vigente a la fecha de la Transferencia, la cual es determinada por Aloha e incorpora un margen que forma parte de su remuneración. Atendido que dicha tasa se encuentra sujeta a las variaciones propias del mercado cambiario, Aloha no garantiza con anterioridad a la ejecución de la Transferencia el tipo de cambio exacto que resultará aplicable. La conversión será ejecutada por el Socio Financiero que corresponda.

9.4 The receipt for each Transfer shall state the Aloha Exchange Rate actually applied and the final amount credited to the Recipient.

9.4 El comprobante de cada Transferencia consignará la Tasa de Cambio Aloha efectivamente aplicada y el monto final acreditado al Destinatario.

9.5 Aloha Tags does not constitute a currency exchange or foreign currency trading service, and Aloha does not provide such services through this feature. The currency conversion described in this clause is merely ancillary to the Transfer, is carried out solely in connection with it, and may not be requested by the user as a standalone transaction.

9.5 Aloha Tags no constituye un servicio de casa de cambio ni de compraventa de divisas, y Aloha no presta dichos servicios a través de esta funcionalidad. La conversión de moneda descrita en esta cláusula tiene carácter meramente accesorio a la Transferencia, se efectúa exclusivamente con ocasión de esta y no podrá ser solicitada por el usuario como una operación independiente.

10. Prohibited use10. Uso prohibido

Users may not use Aloha Tags to: (a) carry out unlawful activities, money laundering or terrorist financing; (b) evade sanctions, limits or controls; (c) pay for goods or services prohibited under Aloha's Acceptable Use Policy; (d) split transactions to avoid limits or reporting; (e) receive funds on behalf of third parties or lend their account; or (f) carry out any activity outside their declared line of business.

El usuario no puede usar Aloha Tags para: (a) actividades ilícitas, lavado de activos o financiamiento del terrorismo; (b) evadir sanciones, límites o controles; (c) pagar bienes o servicios prohibidos por la Política de Uso Aceptable de Aloha; (d) fraccionar operaciones para eludir límites o reportes; (e) recibir fondos a nombre de terceros o prestar su cuenta; o (f) cualquier actividad que no corresponda a su giro declarado.

11. Compliance11. Cumplimiento normativo

Aloha monitors Transfers under its Anti-Money Laundering Program and applicable law. Aloha may request information on the source of funds or the purpose of a Transfer, hold or block funds, and report transactions to the competent authorities, without notifying the user where the law prohibits it.

Aloha monitorea las Transferencias conforme a su Programa de Prevención de Lavado de Activos y a la normativa aplicable. Aloha puede pedir información sobre el origen de los fondos o el motivo de una Transferencia, retener o bloquear fondos, y reportar operaciones a las autoridades competentes, sin obligación de informar al usuario cuando la ley lo prohíba.

12. Security and fraud12. Seguridad y fraude

The user is responsible for keeping their credentials and the devices they use to access Aloha secure. If the user detects unauthorized use or a Transfer they do not recognize, they must notify support@aloha.co immediately. Aloha will never ask for passwords or verification codes by email, phone or messaging apps.

El usuario es responsable de mantener la confidencialidad de sus credenciales y de los dispositivos con que accede a Aloha. Si detecta un uso no autorizado o una Transferencia que no reconoce, debe avisar de inmediato a support@aloha.co. Aloha nunca pedirá contraseñas ni códigos de verificación por correo, teléfono o mensajería.

13. Relationship between users13. Relación entre usuarios

Aloha is not a party to the business relationship between Sender and Recipient and does not guarantee any goods or services paid for with Aloha Tags. Any dispute about the underlying transaction must be resolved between them.

Aloha no es parte de las relaciones comerciales entre Remitente y Destinatario, ni garantiza los bienes o servicios que se paguen mediante Aloha Tags. Cualquier disputa sobre la operación subyacente debe resolverse entre ellos.

14. Suspension and termination14. Suspensión y término

Aloha may suspend or terminate access to Aloha Tags if the user breaches these Terms, if there is a fraud or compliance risk, or if a Financial Partner or an authority requires it. The user may deactivate Aloha Tags at any time; Transfers already confirmed are not affected.

Aloha puede suspender o terminar el acceso a Aloha Tags si el usuario infringe estos Términos, si existe un riesgo de fraude o de cumplimiento, o si lo exige un Socio Financiero o una autoridad. El usuario puede desactivar Aloha Tags en cualquier momento; las Transferencias ya confirmadas no se ven afectadas.

15. Liability15. Responsabilidad

To the fullest extent permitted by law, Aloha is not liable for: (a) Transfers the Sender sends to the wrong Tag; (b) delays or rejections resulting from compliance or security controls; (c) failures of third parties, including Financial Partners; or (d) indirect damages or lost profits. Nothing in these Terms limits rights that the law grants the user and that cannot be waived.

En la máxima medida permitida por la ley, Aloha no responde por: (a) Transferencias enviadas a un Tag equivocado por el Remitente; (b) demoras o rechazos derivados de controles de cumplimiento o seguridad; (c) fallas de terceros, incluidos los Socios Financieros; ni (d) daños indirectos o lucro cesante. Nada en estos Términos limita los derechos que la ley otorga irrenunciablemente al usuario.

16. Personal data16. Datos personales

Aloha processes Transfer data under its Privacy Policy. By using Aloha Tags, the user agrees that their Tag and their name or business name will be visible to users who search for them or send them funds.

Aloha trata los datos de las Transferencias conforme a su Política de Privacidad. Al usar Aloha Tags, el usuario acepta que su Tag y su nombre o nombre comercial sean visibles para los usuarios que lo busquen o le envíen fondos.

17. Changes17. Modificaciones

Aloha may change these Terms and will give at least 30 days' notice of material changes through the platform or by email. If the user keeps using Aloha Tags after that date, they accept the amended Terms.

18. Governing law and dispute resolution18. Ley aplicable y resolución de disputas

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of laws rules. The parties will attempt to resolve any dispute arising from these Terms through good-faith mediation before resorting to arbitration or litigation. Any dispute not resolved through mediation shall be submitted to binding arbitration administered under the rules of the American Arbitration Association, seated in Delaware, except that either party may seek injunctive or other interim relief before the state or federal courts located in Delaware.

Estos Términos se rigen por las leyes del Estado de Delaware, Estados Unidos de América, sin considerar sus normas de conflicto de leyes. Las partes intentarán resolver cualquier disputa que derive de estos Términos mediante mediación de buena fe, antes de recurrir al arbitraje o a la vía judicial. Toda disputa que no se resuelva mediante mediación será sometida a arbitraje vinculante, administrado conforme a las reglas de la American Arbitration Association, con sede en Delaware, salvo que cualquiera de las partes podrá solicitar medidas cautelares ante los tribunales estatales o federales ubicados en Delaware.
